The firm is supported by an experienced leadership team and guided by long-term growth and sustainability goals. With a dedicated in-house corporate secretarial function, the company is seeking to strengthen governance, compliance, and board support with the appointment of a senior Company Secretary.
This is a senior leadership opportunity within the corporate secretarial team, offering direct exposure to board members, regulators, and external stakeholders. The role goes beyond administrative duties—providing strategic input on governance, supporting critical corporate actions such as share buybacks and placements, and ensuring the company maintains best practices in compliance. It is ideal for professionals who want to play a pivotal role in shaping corporate governance in a listed environment while leading a small but capable team.
Key Responsibilities:
- Lead all company secretarial functions, including board/committee meetings, minutes, statutory filings, and compliance with SGX and ACRA requirements.
- Advise the Board and management on corporate governance, materiality, and disclosure requirements for announcements.
- Drive corporate exercises such as share buybacks, share placements, and other capital market transactions.
- Oversee a small team of corporate secretarial professionals, providing guidance and mentoring.
- Liaise with regulators, external counsel, and consultants to ensure timely compliance and strong governance practices.
Key Requirements:
- Strong track record as a Company Secretary in a listed company; prior exposure to non-listed firms will be considered if complemented by strong capability.
- Professional qualification in Law (preferred) or Finance, with solid grounding in corporate governance and compliance.
- Proven experience in handling SGX announcements, regulatory submissions, and company structuring with ACRA.
- Excellent stakeholder management skills—engaging, attentive listener, able to handle pressure and deliver quick turnarounds.
- Strong writing and communication skills, with ability to draft precise board materials and minutes efficiently.
