Key Responsibilities:
- As the General Counsel and Company Secretary, you will be a key member of our executive leadership team, reporting directly to the Senior Management
- You will be responsible for overseeing all legal matters, providing strategic guidance, and ensuring compliance with applicable laws and regulations in all jurisdictions where we operate.
- Additionally, you will perform the essential duties of a Company Secretary, ensuring adherence to corporate governance standards and facilitating effective communication between the board of directors and executive management.
- Develop and implement legal strategies aligned with the company's objectives and risk tolerance.
- Monitor changes in laws and regulations affecting the data center industry and advise management accordingly.
- Ensure compliance with applicable laws, regulations, and industry standards across all areas of operations.
- Manage corporate governance matters, including board meetings, governance policies, and regulatory filings.
- Oversee compliance with securities laws and regulations, particularly in the context of the IPO process.
- Provide guidance on corporate structure, governance best practices, and shareholder relations.
- Review, negotiate, and draft a wide range of commercial agreements, including customer contracts, vendor agreements, and strategic partnerships.
- Advise on contract interpretation, enforceability, and risk mitigation strategies.
- Collaborate with cross-functional teams to ensure legal and commercial alignment in business transactions.
- Protect and manage the company's intellectual property portfolio, including trademarks, copyrights, and patents.
- Develop strategies for safeguarding sensitive data and ensuring compliance with data protection laws and regulations, such as GDPR and CCPA.
- Handle disputes related to intellectual property rights and data privacy issues.
- Oversee litigation matters, including disputes with customers, vendors, and regulatory agencies.
- Work closely with external counsel to develop litigation strategies and manage legal proceedings effectively.
- Explore alternative dispute resolution mechanisms, such as mediation and arbitration, to resolve disputes efficiently.
- Engage with regulatory authorities and industry associations to advocate for policies favorable to the company's interests.
- Monitor regulatory developments and assess their potential impact on the company's operations.
- Collaborate with government relations teams to influence legislation and regulatory initiatives affecting the data center industry.
- Identify legal risks and develop strategies for mitigating them effectively.
- Conduct compliance training programs for employees to ensure awareness of legal requirements and ethical standards.
- Establish and maintain a robust compliance framework, including policies, procedures, and internal controls.
Key Requirements:
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the Bar.
- Minimum of [15] years of experience practicing law, with a focus on corporate, commercial, and regulatory matters. Experience in the technology or data center or the real estate industry is highly preferred.
- Proven track record of providing strategic legal counsel to senior executives and managing complex legal issues in a dynamic business environment.
- Strong knowledge of corporate governance, securities laws, intellectual property, data protection, and commercial contracts.
- Previous experience serving as a Company Secretary in a listed company, with a comprehensive understanding of corporate governance practices, regulatory requirements, and board responsibilities.
- Excellent analytical, negotiation, and communication skills, with the ability to articulate legal concepts clearly and concisely to non-legal stakeholders.
- Demonstrated leadership abilities, with experience building and managing a high-performing legal team.
- Ability to thrive in a fast-paced, collaborative environment and adapt quickly to changing priorities and business needs.
- High ethical standards and a commitment to integrity, transparency, and professionalism in all aspects of legal practice.
